Client Deliverables and Ownership
Upon full payment for services rendered, Zen Life Labs LLC assigns to the client all right, title, and interest in the custom deliverables created specifically for that client under a valid service agreement. This includes software code, system designs, architecture documentation, configurations, and other materials explicitly identified as client deliverables in the applicable statement of work.
Zen Life Labs LLC retains ownership of all pre-existing materials, tools, frameworks, methodologies, know-how, and intellectual property developed or acquired prior to or independently of the client engagement. We also retain the right to use general knowledge, skills, and experience acquired during the performance of services, subject to our confidentiality obligations.

Confidentiality
During the course of providing services, Zen Life Labs LLC may receive confidential information from clients, including business plans, technical specifications, source code, customer data, financial information, and trade secrets. We agree to hold all such confidential information in strict confidence and to use it solely for the purpose of providing the agreed-upon services.
Confidential information does not include information that is publicly available through no fault of the receiving party, already in the receiving party's possession without obligation of confidentiality, independently developed by the receiving party, or rightfully obtained from a third party without restriction.
Our confidentiality obligations survive the termination of any service agreement and continue for a period of three years thereafter, or indefinitely for trade secrets.

Limitation of Liability
To the fullest extent permitted by applicable law, Zen Life Labs LLC, its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Payment Terms
For professional services engagements, payment terms are specified in each individual service agreement or statement of work. Unless otherwise agreed in writing, the following general terms apply:
- Professional fees are billed on a time and materials basis or fixed-price basis as defined in the applicable statement of work.
- Invoices are issued on a monthly basis or upon completion of defined milestones.
- Payment is due within 30 days of invoice date.
- Late payments accrue interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.
- All fees are exclusive of applicable taxes, which shall be the responsibility of the client.
- We reserve the right to suspend services if payment is more than 60 days past due.

Termination
Either party may terminate a service agreement upon 30 days written notice to the other party, unless a different notice period is specified in the applicable statement of work. Termination does not relieve the client of the obligation to pay for services rendered and expenses incurred prior to the effective date of termination.
We may terminate or suspend your access to our website immediately, without prior notice or liability, if you breach these Terms of Service. Upon termination, your right to use the website will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Kane County, Utah.
Before initiating any formal legal action, the parties agree to attempt to resolve any dispute informally by providing written notice to the other party and engaging in good faith negotiations for a period of at least 30 days. If the dispute cannot be resolved informally, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration to take place in Salt Lake City, Utah.

General Provisions
- Entire Agreement: These Terms of Service, together with any applicable service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Zen Life Labs LLC regarding the use of our website and services.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
- Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of war, terrorism, civil unrest, government actions, pandemics, and internet or utility failures.
- Relationship: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Zen Life Labs LLC.
